<h2>1. Acceptance of Terms</h2>
<p>By accessing or using Sharkly (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you and Sharkly ("we," "us," or "our").</p>
<h2>2. Description of Service</h2>
<p>Sharkly is an AI-assisted <strong>data research and market-intelligence</strong> product. It analyses screenshots you provide of <strong>public market listings</strong> (for example, event contracts shown on third-party platforms) and returns contextual information, news-style summaries, and structured analytical outputs. The Service is provided for <strong>informational and educational purposes only</strong>.</p>
<p>Sharkly is NOT:</p>
<ul>
<li>A licensed financial advisor, broker, or investment advisor</li>
<li>A regulated financial service under MiFID II, Dodd-Frank, or any equivalent legislation</li>
<li>A recommendation engine for transactions on third-party platforms, securities, or other financial instruments</li>
<li>A gambling operator and does not accept stakes, wagers, or deposits for games of chance</li>
<li>A source of guaranteed or reliable predictions about future events</li>
</ul>
<h2>3. Not Financial Advice — Critical Disclaimer</h2>

<p>All content, analysis, scores, signals, and outputs provided by Sharkly constitute information only and do not constitute financial, investment, legal, or any other form of professional advice.</p>

<p>You expressly acknowledge and agree that:</p>
<ul>
<li>Sharkly outputs are generated by artificial intelligence and may be inaccurate, incomplete, or outdated</li>
<li>Past analytical performance does not guarantee future accuracy</li>
<li>Public event markets and related instruments can involve significant risk; you alone decide whether and how to use third-party platforms</li>
<li>You should always conduct your own independent research before relying on any information source</li>
<li>We are not responsible for any financial loss you incur as a result of using or relying on the Service</li>
</ul>
<p>Any reference to market prices, confidence scores, signals, or directional indicators (e.g., labels such as YES / NO / UNCERTAIN) are <strong>analytical summaries</strong> based on publicly available information and AI processing — they are <strong>not</strong> buy, sell, or "take action" recommendations.</p>
<h2>4. Eligibility</h2>
<p>You must be at least <strong>18 years of age</strong> to use the Service. By using the Service, you represent and warrant that you meet this requirement. You also represent that you are not located in a jurisdiction where use of this Service or the underlying data sources you choose to analyse is prohibited.</p>
<h2>5. Account Registration</h2>
<p>To access certain features, you may register an account using Google OAuth or with an email address and password. By registering, you agree to provide accurate information, maintain the security of your account credentials, and be responsible for all activity that occurs under your account. We reserve the right to suspend or terminate your account at any time if we believe you have violated these Terms.</p>
<h2>6. Credits, Subscriptions & Payments</h2>
<p>Access to certain features may require the purchase of credits ("Credits") or a subscription. Key terms:</p>
<ul>
<li><strong>Digital service:</strong> analytics outputs are delivered online and consumed when you run analyses</li>
<li><strong>Non-refundable digital consumption:</strong> except where required by applicable law, <strong>fees, subscriptions, and prepaid credits are final and non-refundable</strong> once the billing period has started or after digital services have been made available to you</li>
<li>Credits have no cash redemption value outside the Service</li>
<li>Credits or entitlements may expire as described in the plan you purchase</li>
<li>Pricing is subject to change; changes will not affect entitlements already paid for</li>
<li>In the event of account termination for breach of these Terms, unused entitlements may be forfeited as permitted by law</li>
</ul>
<p>All payments are processed by Stripe, Inc. Your full card details are not stored by Sharkly. By purchasing, you also agree to Stripe's terms.</p>
<h2>7. Acceptable Use</h2>
<p>You agree not to: violate any applicable law; reverse engineer or scrape the Service; resell outputs without our written consent; upload content you do not have the right to share; attempt to circumvent access controls or credit gates; or use the Service to harm, harass, or defraud any third party.</p>
<h2>8. Intellectual Property</h2>
<p>All trademarks, logos, software, AI models, and designs associated with Sharkly are the exclusive property of Sharkly or its licensors. You are granted a limited, non-exclusive, non-transferable licence to use the Service for personal purposes only. You retain ownership of any screenshots you upload.</p>
<h2>9. Disclaimer of Warranties</h2>
<p>The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted or error-free.</p>
<h2>10. Limitation of Liability</h2>
<p>To the maximum extent permitted by applicable law, Sharkly and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Service — even if advised of the possibility of such damages. Our total aggregate liability shall not exceed the amount you paid to us in the three months preceding the claim.</p>
<h2>11. Indemnification</h2>
<p>You agree to defend, indemnify, and hold harmless Sharkly from any claims, liabilities, damages, losses, and expenses arising out of: your use of the Service; your violation of these Terms; your violation of any third-party rights; or any financial losses you suffer as a result of acting on Service outputs.</p>
<h2>12. Modifications</h2>
<p>We may update these Terms at any time. We will notify you of material changes by email or by posting a notice on the Service. Your continued use after changes take effect constitutes acceptance of the updated Terms.</p>
<h2>13. Governing Law</h2>
<p>These Terms are governed by the laws of France. Any disputes shall be submitted to the exclusive jurisdiction of the courts of Paris, France. For EU users, nothing in these Terms affects your rights under applicable EU consumer protection law.</p>
